Welcome to Podcay ("Service"), operated by Hangzhou Qiyan Intelligent Technology Co., Ltd ("Company", "we", "us", or "our"). By accessing or using our Service at www.podcay.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

1. Description of Service

Podcay is a software-as-a-service (SaaS) platform for personal knowledge management. The Service allows users to transcribe user-provided or authorized podcast and audio materials, translate materials into multiple languages, summarize key ideas, organize materials into structured notes, and export materials to third-party platforms such as Notion. The Service is designed for users who want to review, search, and manage audio-based learning and research materials in written form.

2. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

4. Subscription and Payment

Podcay offers subscription-based access to its features. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

By subscribing to Podcay, you authorize Paddle to charge the applicable subscription fees to your chosen payment method. Subscription fees are billed in advance on a recurring basis (monthly or annually), depending on the plan you select.

Prices are subject to change. We will notify you of any price changes in advance. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

5. Free Trial

We may offer a free trial period at our discretion. At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial period ends. You may cancel your trial at any time through your account settings or by contacting Paddle support.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload, transmit, or distribute any content that infringes upon the intellectual property rights of others.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools (bots, scrapers, etc.) to access the Service in a manner that exceeds reasonable use.
• Interfere with or disrupt the integrity or performance of the Service.
• Share your account credentials with third parties or allow unauthorized access to your account.
• Use the Service to process, organize, or publish materials that are defamatory, obscene, infringing, or otherwise objectionable.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, design, and functionality, is owned by Hangzhou Qiyan Intelligent Technology Co., Ltd and is protected by international copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of any podcast audio, audio files, transcripts, notes, and related materials you submit to or create through the Service. By using the Service, you grant us a limited, non-exclusive license to process your submitted content solely for the purpose of providing the Service to you. We do not claim ownership over your organized notes, transcripts, or exported materials.

7.3 Podcast Content

You are solely responsible for ensuring that you have the necessary rights, permissions, or legal basis to transcribe, translate, summarize, organize, or export any podcast or audio content you submit. We are not responsible for any copyright infringement claims arising from your use of the Service.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

The accuracy of transcriptions, translations, and organized notes may vary. We do not guarantee that any transcript, note, or exported material will be 100% accurate or suitable for any specific purpose.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Hangzhou Qiyan Intelligent Technology Co., Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period.

11. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Hangzhou, China.
